Welcome to MumBuds USA. These Terms of Service ("Terms") govern the business relationship between MumBuds USA ("Company," "we," "our," or "us") and its authorized distributors ("Distributor," "you," or "your") for the purchase, distribution, and resale of MumBuds USA products.

By placing a purchase order, signing a distribution agreement, or conducting business with MumBuds USA, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Scope of Agreement

These Terms apply exclusively to authorized distributors purchasing MumBuds USA products for commercial resale.

The minimum order quantity (MOQ) for distributorship is 100,000 packs per purchase order, unless otherwise agreed in writing by MumBuds USA.

These Terms govern all wholesale transactions unless superseded by a separately executed written Distribution Agreement.

2. Distributor Eligibility

To become or remain an authorized distributor, you must:

  • Be a legally registered business entity.
  • Possess all licenses, permits, and registrations required to conduct wholesale or distribution activities in your jurisdiction.
  • Have the legal authority to enter into binding commercial agreements.
  • Provide accurate and up-to-date business information.
  • Comply with all applicable laws and regulations governing the importation, distribution, marketing, and sale of baby care products.

MumBuds USA reserves the right to approve, reject, suspend, or terminate any distributor application at its sole discretion.

3. Products and Orders

MumBuds USA manufactures and supplies baby diaper products and related baby care items for wholesale distribution.

While we strive to maintain consistent product quality and availability, we reserve the right to:

  • Modify product specifications or packaging.
  • Introduce or discontinue products.
  • Limit product availability.
  • Allocate inventory during periods of supply constraints.

Submission of a purchase order does not constitute acceptance. Orders become binding only after written confirmation by MumBuds USA.

4. Pricing and Payment

Wholesale pricing shall be communicated through official quotations, distributor price lists, or executed commercial agreements.

Unless otherwise agreed in writing:

  • Prices exclude applicable taxes, duties, freight, customs charges, insurance, and local distribution expenses.
  • Payment terms shall be specified in the purchase order, invoice, or distribution agreement.
  • Late payments may be subject to applicable interest charges or suspension of future shipments.
  • MumBuds USA reserves the right to revise wholesale pricing with prior notice.

5. Minimum Order Quantity (MOQ)

The standard MOQ for distributors is 100,000 packs per purchase order.

Orders below the minimum quantity may be declined unless expressly approved in writing by MumBuds USA.

6. Shipment and Delivery

Delivery schedules are estimates only and may vary due to production capacity, logistics, customs clearance, or other operational factors.

Risk of loss and title to the products shall transfer in accordance with the agreed Incoterms or other shipping terms specified in the purchase order or commercial agreement.

MumBuds USA shall not be liable for delays resulting from:

  • Transportation disruptions.
  • Port congestion.
  • Customs inspections or clearance delays.
  • Natural disasters.
  • Government restrictions.
  • Carrier delays.
  • Other events beyond our reasonable control.

7. Inspection and Acceptance of Goods

The distributor must inspect all shipments immediately upon delivery.

Any claims regarding:

  • Damaged goods,
  • Incorrect products,
  • Quantity shortages, or
  • Manufacturing defects

must be submitted in writing within 7 calendar days of receipt.

Failure to notify MumBuds USA within this period shall constitute acceptance of the shipment.

8. Returns, Replacements, and Refunds

Returns, replacements, and refunds shall be governed by the MumBuds USA Distributor Return & Refund Policy.

Due to hygiene requirements and the wholesale nature of our products, returns are accepted only under approved circumstances, including verified manufacturing defects, transit damage, or shipment errors attributable to MumBuds USA.

9. Distributor Responsibilities

Authorized distributors agree to:

  • Market and distribute MumBuds USA products professionally and ethically.
  • Maintain suitable warehousing conditions that preserve product quality.
  • Store products according to recommended environmental conditions.
  • Comply with all applicable product safety, labeling, and regulatory requirements.
  • Refrain from altering, repackaging, relabeling, or modifying MumBuds USA products without prior written approval.
  • Maintain accurate inventory and sales records where required.

Distributors shall not make misleading claims regarding MumBuds USA products or represent themselves as agents or employees of the Company unless expressly authorized.

10. Intellectual Property

All trademarks, logos, product names, packaging designs, marketing materials, copyrights, and other intellectual property associated with MumBuds USA remain the exclusive property of MumBuds USA or its licensors.

Distributors are granted a limited, non-exclusive, non-transferable license to use approved branding and promotional materials solely for the purpose of marketing and selling MumBuds USA products.

No intellectual property rights are transferred under these Terms.

11. Product Warranty

MumBuds USA warrants that its products will conform to applicable manufacturing specifications at the time of shipment.

This warranty does not cover products that have been:

  • Improperly stored.
  • Mishandled.
  • Altered.
  • Repackaged.
  • Damaged after delivery.
  • Used contrary to product instructions.

The remedies available under this warranty are limited to replacement or refund of verified defective products.

12. Limitation of Liability

To the fullest extent permitted by applicable law, MumBuds USA shall not be liable for:

  • Indirect or consequential damages.
  • Loss of profits.
  • Loss of business opportunities.
  • Loss of goodwill.
  • Inventory carrying costs.
  • Market losses.
  • Customer claims against the distributor.
  • Business interruption.

The maximum liability of MumBuds USA shall not exceed the purchase price paid for the affected products.

13. Confidentiality

Any confidential commercial information exchanged between MumBuds USA and the distributor, including pricing, business strategies, customer information, product specifications, manufacturing processes, and commercial terms, shall remain confidential.

Such information may not be disclosed to third parties without prior written consent unless required by law.

14. Force Majeure

MumBuds USA shall not be liable for any delay or failure in performing its obligations due to circumstances beyond its reasonable control, including but not limited to:

  • Natural disasters.
  • Floods.
  • Earthquakes.
  • Fires.
  • Pandemics.
  • Government actions.
  • Trade restrictions.
  • Labor disputes.
  • Transportation disruptions.
  • Shortages of raw materials.
  • Power or telecommunications failures.

Performance obligations shall be suspended for the duration of the force majeure event.

15. Termination

MumBuds USA reserves the right to suspend or terminate its relationship with any distributor if the distributor:

  • Breaches these Terms.
  • Fails to make timely payments.
  • Violates applicable laws.
  • Engages in fraudulent or unethical business practices.
  • Infringes upon MumBuds USA intellectual property.
  • Damages the reputation of MumBuds USA.

Termination shall not affect any payment obligations or liabilities accrued prior to termination.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Nepal, unless otherwise agreed in a separate written distribution agreement.

Any dispute arising from these Terms shall first be resolved through good-faith negotiations between the parties.

If a resolution cannot be reached, the dispute shall be submitted to the competent courts of Nepal, which shall have exclusive jurisdiction.

17. Amendments

MumBuds USA reserves the right to amend these Terms of Service from time to time.

Updated Terms shall become effective upon written notification to distributors or publication through official company communication channels and shall apply to future purchase orders.
